10.1.1 If at any time any Party is of the opinion that such dispute cannot be settled amicably by negotiation,then any and all disputes,controversies and claims arising out of,involving,or relating to this Agreement shall be referred to,settled and finally resolved exclusively by arbitration pursuant to the Rules of Arbitration of the International Chamber of Commerce by three arbitrators.One arbitrator shall be appointed by the Company and one arbitrator shall be appointed by the Subcontractor; the third shall be appointed by the two arbitrators acting jointly,or failing agreement,by the Court of International Chamber of Commerce,Paris.
